Amazon is changing the rules for seller financing.

Effective August 24, Amazon’s Business Solutions Agreement will prohibit sellers from:

→ Transferring their rights or obligations under the agreement

→ Pledging those rights or future Amazon revenue as collateral

That matters because sellers have historically used Amazon receivables to secure financing, including inventory funding and revenue-based lending.

The update also makes account transfers more complicated.

⤷ M&A transactions involving an Amazon account will need to go through

Amazon’s formal compliance process, with corporate documentation and business licenses required.

If your Q4 inventory financing is secured against future Amazon payouts, now is the time to review your agreements.

Talk to your lender before your next draw and check your security agreement for references to Amazon receivables or future Amazon revenue.
